BinX LICENCE AGREEMENT 
For the purposes of this licence, the expression “Software” shall cover the BinX software, data, information or executables contained therein.

1. Grant
The software and demonstration data (the “Software”) and related documentation are licensed to you by The University of Edinburgh (“University”). The University does not assume and shall have no obligation or liability to you under this Licence Agreement or otherwise. The University retains title to the Software.

2. Restrictions 
You may not decompile, reverse engineer, disassemble or otherwise reduce the Software to a human-perceivable form. During the continuance of this Agreement the Licensee shall ensure that no commercial use is made of the Software, either directly or indirectly, and ensure that any sub-licensees, assignees, etc, are bound by like terms prohibiting commercial exploitation of the Software. Commercial exploitation may only take place by arrangement agreement of terms with the Licensor.

3. Termination
The licence in clause 1 above is effective until terminated.  You may terminate the licence at any time by destroying the Software and all copies thereof. The licence will terminate immediately without notice from the University if you fail to comply with any provision of it.  Upon termination you must destroy the Software, related documentation, and all copies thereof.  Upon termination you shall remain subject to the provisions, restrictions and exclusions in the Licence Agreement and shall have no right to any refund of any amounts paid for the University software. No termination shall release you from liability for any breach of this Licence agreement.

4. Limited Warranty on Media
The University warrants the Software media to be free from defects in materials and workmanship under normal use for a period of Thirty (30) days from the date of acquisition. During the applicable warranty period the University will repair at its option/replace free of charge the Software media. All disks replaced under warranty become the property of the University. The University will have no responsibility to replace Software media or material which in the opinion of the University has been damaged by accident, abuse or misapplication.

5. Disclaimer
Whilst care has been taken in the preparation of the Software, no warranties or representations whatever are made, whether express or implied, that the Software is free from errors or omissions or that the Software is fit for any given purpose or as to the quality or performance of the Software. The use and application of the Software is entirely at the user’s own risk and the University accepts no responsibility for any loss or damage due to use or application of the Software, whether incurred directly or indirectly.  These provisions do not however purport to exclude any liability for death or personal injury to the extent it results directly from the negligence of the University or its employees.

6. Governing Law
This Licence Agreement shall be governed by and construed in accordance with the laws of Scotland.

7. Acknowledgement
By installing the Software on a computer you acknowledge that you have read this Licence Agreement and Limited Warranty, understand them, and agree to be bound by their terms and conditions. You also agree that the Licence Agreement and Limited Warranty are the complete and exclusive statement of agreement between the parties and supercede all proposals or prior agreements, oral or written, and any other communications between the parties relating to the subject matter of the Licence Agreement or the Limited Warranty.
